Terms of Service

1. Your ownership

You own 100% of everything you upload.

We do not claim ownership, copyright, publishing rights, master rights, distribution rights, or any financial interest in your work. You retain complete ownership of all content, data, and intellectual property you create on this platform. We are a service provider and platform. Nothing more.

2. What we do not do

  • We do not take publishing. Your songwriter and publishing share remain entirely yours.
  • We do not take masters. Your master recordings remain entirely yours.
  • We do not exploit your work. We do not use, license, distribute, or profit from your content without written consent.
  • We do not access your content without permission. We cannot see, listen to, review, or analyze your uploads unless you explicitly opt-in.
  • We do not lock you in. You can cancel anytime. Your data and uploads remain accessible.
  • We do not claim synchronization rights. You control every sync opportunity, approval, and deal.

3. Content uploaded to the platform

What you grant us (operational use only)

By uploading content to the platform, you grant us permission to:

  • Store your files securely (encrypted at rest and in transit)
  • Back up your content for disaster recovery
  • Display your content to you in your account
  • Protect your content from unauthorized access

That's it. We do not use, analyze, share, or distribute your content without additional explicit permission from you.

What remains yours

  • All original files
  • All creative decisions
  • All licensing decisions
  • All financial rights
  • All copyright claims
  • All master ownership
  • All distribution rights

4. Data access & privacy (opt-in only)

Default: We cannot see your content or access your metadata.

Opt-In #1: Content review for opportunities

By opting in, you grant permission for authorized team members to listen to or review your uploaded content, identify potential opportunities (placements, collaborations, etc.), and suggest relevant opportunities to you. This does not grant permission to share your content publicly, pitch without your approval, exploit or monetize your work, or claim ownership. You will be notified of every opportunity before it is pitched and you approve or reject each opportunity. You can revoke this permission anytime.

Opt-In #2: Metadata sharing with partners

By opting in, you grant permission to share non-content data such as genre, release date, listener demographics, playlist placements, streaming performance, and release strategy. Audio files, recordings, lyrics, compositions, private notes, and personal information are not shared. You can revoke this permission anytime.

5. Prohibited uses

You agree not to:

  • Upload content you do not own or have legal right to upload
  • Violate anyone's intellectual property rights
  • Use the platform for illegal activities
  • Harass, threaten, or abuse other users
  • Attempt to access unauthorized areas of the platform
  • Use automated tools to scrape or extract data

Violations may result in account suspension or termination without refund.

6. Third-party services

We may integrate with third-party services (payment processors, cloud storage, analytics). You acknowledge that these providers have their own privacy policies and terms, that we are not responsible for their conduct or security, and that you can request information about which providers we use.

7. Cancellation & data deletion

You can cancel anytime. Upon cancellation:

  • Your account remains active (you can access your content anytime)
  • Your files remain stored (we do not auto-delete on cancellation)
  • Your uploads stay yours (no new claims or rights)
  • You can export everything (download all content, metadata, data)
  • Billing stops immediately (no pro-rata charges)

If you request permanent deletion, all content is deleted within 30 days. This cannot be undone.

8. Payment & billing

If you pay for features or membership: charges are processed by our payment processor; you can view receipts anytime in your account; disputes must be filed within 60 days of the charge; refunds are issued to the original payment method.

We do not offer refunds for unused features or cancellations after the billing cycle starts. We do offer refunds for unauthorized charges, technical failures preventing service access, and billing errors. Contact support to dispute a charge.

9. Limitation of liability

We provide the platform "as-is." We are not liable for data loss or corruption (though we back up regularly), service interruptions or downtime, third-party conduct or breaches, rejected submissions or denied opportunities, or technical failures.

We are liable for unauthorized access to your content by our team, sharing your data or content without your permission, claiming ownership or rights to your work, and gross negligence or willful misconduct.

10. Changes to terms

We may update these terms. Material changes will be communicated via email at least 30 days before taking effect. Continued use means you accept the changes.

11. Dispute resolution

If a dispute arises: email us with a clear description of the issue; we will respond within 5 business days; we will attempt good-faith resolution; if unresolved, you can pursue legal action or binding arbitration.

12. Governing law

These terms are governed by applicable law. Any legal action must be filed in the appropriate jurisdiction.
